The freehold of Charminster Close was purchased by Charminster Close Freehold Ltd on behalf of the 22 participating leaseholders. The company is now the freeholder/lessor for the site. The 22 participating leaseholders are each a member of the company. The remaining leaseholders who did not participate in the purchase are not members although they are invited to attend members' meetings.

The Residents' Management Company was jointly owned by the leaseholders who were all shareholders (called members) of the company. The company was the vehicle through which the property was administered during the time that it held a head lease until the freehold and the head lease were purchased by Charminster Close Freehold Ltd at the end of 2017.

The Memorandum and Articles were amended by members in 2004 to remove the requirement that every leaseholder become a director of the company and now requires directors to retire by rotation every three years.

Table A is the name given to the prescribed format for Articles of Association of a company. Provisions of Table A may apply to a company which has filed Articles, if the company’s Articles have not specifically excluded or modified. The Table A which applies to a company is the Table A in force at the date of the company’s incorporation. If Table A was subsequently altered, the changes do not affect a company registered before the alteration took effect. To be sure one is reading the correct Table A, one needs to know the date of incorporation of the company and which version of Table A was in force on that date.

This will include service charge billing and providing any updates of information in relation to the site.

3.1 We may employ other companies to provide services for us. These companies will have access to the personal information needed to perform their functions and not for any other purpose. Those functions may include recovering debts, tracing debtors and preventing money laundering and fraud.

3.2 If our business is merged with another business entity, your information may be disclosed to our new business partners or owners.

3.4 We operate in a regulated industry and may be required to disclose information about you in accordance with our statutory obligations.

3.5 Unless required to do so by law, we will not otherwise share, sell or distribute any of the information you provide to us without your consent.
